Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of ToniPR (“ToniPR,” “we,” “us,” or “our”), including our website, applications, and related services (collectively, the “Service”). The Service is offered by Tunepact and is designed to help business owners, consultants, and teams turn conversations into publishable content such as posts, articles, quotes, and media-ready drafts.

By creating an account, purchasing a plan, or using the Service, you agree to these Terms. If you do not agree, do not use ToniPR.

2. The Service

ToniPR provides tools to capture or structure your expertise (for example through a guided conversation or interview-style flow) and to generate or organize outputs such as LinkedIn-style posts, long-form drafts, short-form scripts, press-ready quotes, and related assets. Features and credit limits depend on your plan.

We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. Accounts & eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be legally able to enter a contract in your jurisdiction and use the Service only for lawful business or professional purposes.

4. Plans, billing & taxes

Paid plans and one-time purchases are processed by our payment provider (e.g. Stripe). By purchasing, you authorize us and our payment partners to charge your selected payment method according to the plan you choose. Fees are described at checkout and may change for new purchases; we will give reasonable notice of material changes to subscription pricing where required.

Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for where required by law.

5. Acceptable use

You agree not to:

• Violate applicable law or third-party rights;
• Upload malicious code, attempt unauthorized access, or disrupt the Service;
• Use the Service to generate or distribute unlawful, fraudulent, harassing, or misleading content;
• Scrape, resell, or reverse engineer the Service except as permitted by law;
• Circumvent usage limits, credit systems, or technical protections.

We may suspend or terminate access for violations of these rules.

6. Your content & intellectual property

You retain ownership of the information and materials you provide (“Your Content”). You grant ToniPR a non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service for you—including generating outputs you request.

Outputs are generated for your use subject to these Terms and any usage rules we communicate. You are responsible for reviewing outputs before publication and for ensuring your use complies with laws and platform rules (e.g. LinkedIn, your website host).

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that outputs will achieve any particular business result, ranking, or press coverage.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUNEPACT AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO TONIPR FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend and indemnify ToniPR and its affiliates against third-party claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights, subject to this section and applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive (e.g. ownership, disclaimers, limitation of liability) will survive termination.

11. Changes

We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Continued use after changes become effective constitutes acceptance unless applicable law requires a different process.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law applies. Courts in Delaware shall have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence where applicable.
